This agreement (hereinafter, the “Agreement”) between Jeska Mystic Ltd, a Canadian (Alberta) corporation, doing business as “MysticGal Ink PMU & Tattoo School” and/or “Jeska Mystic” including its officers, directors, shareholders, employees and representatives, (hereinafter collectively, “Jeska Mystic Companies”, “us”, “our” or “we”) and you sets forth terms and conditions which govern your use of the websites and the online courses, practitioner directory, programs and/or content (collectively the “Site”) and your participation in a Jeska Mystic Companies course training, workshop, video course, audio course, demonstration session, podcast, webinar, online event, online program, or any other accessible content (the “Course”).

This Site and all its videos, documents, and other associated with the Course has been produced by Jeska Mystic Companies. When you purchase our Course, you agree to this Agreement. You will at all times indemnify and hold harmless Jeska Mystic Companies, its officers, directors, agents, employees, licensor’s, suppliers, successors, and assigns, from and against any and all claims, actions, demands, liabilities, damages, settlements, any and all costs, and expenses (including reasonable attorney fees) related to your acts or omissions in providing or receiving services related to any Course and/or resulting from or alleged to result from the visitor’s violation of these terms and conditions.

All sales are final for services, education, information, online courses, and/or any and all other products or content (collectively, “Products”) purchased on from Jeska Mystic Companies. No refunds are issued for Products a sale is completed in person, or through the Site. The supplies and props used for any exercises instructed are not included in the purchasing of the E-Course.

You understand that if at an time Jeska Mystic Companies approves the recording of a Course, you hereby irrevocably grand to Jeska Mystic Companies the right and permission to film, photograph, videotape, and/or record you (including your image, picture, likeness and/or voice) and to use the resulting film, photographs, videotapes, digital imagery and/or recordings (collectively, the “Footage”), as edited or altered by Jeska Mystic Companies in order to create marketing and promotional materials, training materials, and reports, or other work product created by for the benefit of Jeska Mystic Companies (“Work Product”). You hereby assign to Jeska Mystic Companies all right, title, and interest to Footage and Work Product, including, but not limited to, all copyrights, without any further compensation to you. You release and discharge Jeska Mystic Companies from any and all claims and demands that may arise out of or in connection with use of the Footage, including without limitation any and all claims for libel or violation of any right of publicity or privacy.

You will at all times indemnify and hold harmless Jeska Mystic Companies, its officers, directors, agents, employees, licensor’s, suppliers, successors, and assigns, from and against any and all claims, actions, demands, liabilities, damages, settlements, any and all costs, and expenses (including reasonable attorney fees) related to your acts or omissions in providing or receiving services related to any Course and/or resulting from or alleged to result from the visitor’s violation of these terms and conditions.

You understand and agree that all your sessions, meetings, and consultations with Jeska Mystic Companies mentors and staff (“Providers”) are undertaken at your own risk and that Jeska Mystic Companies does not monitor, control, influence, or regulate Providers. You hereby release Jeska Mystic Companies and its related parties from any and all liabilities or responsibility for any acts or omissions of any Provider and any claims related thereto. You understand that Jeska Mystic Companies makes no representations or warranties about the characteristics or quality of the service you may receive.

Please read this Agreement carefully before accessing or using the Site and participating in a Course. You confirm that you are not under the influence of alcohol or drugs at this time and you are sufficiently qualified, trained and capable to participate in the Course and all “Released Activities” referred to in this Agreement.

You acknowledge and agree that the Course is the exclusive intellectual property of Jeska Mystic Ltd, (“Jeska Mystic Companies”)(the “Intellectual Property). You further understand that Jeska Mystic Companies is the exclusive owner or licensee of all materials utilized in the Course including, but not limited to, all printed, audio, video, digital, online, and other materials (“Materials”). The Materials also include all duplicates, reproductions, and derivatives of all the Materials, as well as any materials, research, books, articles, and other works of authorship, as well as products or services created by Jeska Mystic Companies and related to the Course (collectively “Materials”). Jeska Mystic Companies retains all rights in and to all Intellectual Property utilized or referenced in the Course and the Materials including, but not limited to, the copyrights in the Materials and all associated trademarks. No Materials or any portion thereof are sold or otherwise transferred and OI does not sell any title, ownership right, or interest in or to any of the Materials. You will not acquire any right of ownership, in whole or in part, in and to any of the Intellectual Property. Any goodwill that accrues to the Intellectual Property because of your use of the Intellectual Property will inure to the sole benefit of Jeska Mystic Companies and become the sole property of Jeska Mystic Companies.

All information contained within the Site, Course, Materials and other content are the property of Jeska Mystic Companies and are not to be used without express written authorization. Any and all product names and/or trademarks mentioned in any part of the Site, Course, Materials and/or content belong to their respective owners.

By purchasing this Course, Jeska Mystic Companies grants you a nonexclusive, non transferable, revocable license to access and use our copyrighted Course, and any associated materials solely for your own personal, non-commercial use. The Site and our Course and/or Materials are protected under Canada and foreign copyrights. The copying, redistribution, use or publication by you or any of the content within the Site is strictly prohibited. Your purchase of the Course does not grant you any ownership rights to our Course. Any breach in terms of this Agreement may result in termination of your access to the Course and Materials. 

Jeska Mystic Companies authorizes visitors to view or download a single copy of material presented solely for personal, noncommercial use. All content is protected by copyright under both federal and international law. Title to content remains with Jessica Lawrence and/or Jeska Mystic Companies or its licensees. Any use of content not expressly permitted by these Terms and Conditions is a breach of such Terms and Conditions and may violate copyright, trademark and other intellectual property laws.

All content, workbooks, in-person or online trainings, etc. presented by Jessica Lawrence and/or Jeska Mystic Companies is intended for informational purposes only. This Site offers information and is designed for educational purposes only. You should not rely on this information as a substitute for, nor does it replace professional health care advice, diagnosis, or treatment. You have knowledge of the risks and assume any and all knowns and unknown risks of injury that may result from your use of the Site and/or the online course and programs, materials or content. You hereby release the Jeska Mystic Companies, its officers, directors, agents, employees, contractors, licensor’s, suppliers, successors, and assigns (collectively “Released Parties”), from all liability to you including your representatives, guardians, successors, assigns, heirs, children, and next of kin for all liability from or related to this Agreement and use of the Site. This release includes, without limitation, damage caused by the active or passive negligence of Jeska Mystic Companies. You bear sole responsibility for all loss. Ou knowingly and voluntarily consent to, and assume the risk of using the online education courses and programs, content and features.

You hereby indemnify and hold harmless, release, and remise and forever discharge and covenant not to sue or hold legally liable Jessica Lawrence and/or Jeska Mystic Companies, from any and all claims, demands, damages, actions, or causes of action whatsoever related to your participation in Jeska Mystic Companies’ Courses and your use of the Jeska Mystic Companies Site, including the online educational courses and programs.

This consent includes all staff that are employed by, associated with, or serve as back-up for Jeska Mystic Companies, whether or not their names are listed on this form. Jeska Mystic Companies, through its Site, has communicated the foals and potential benefits of using the features, and the associated risks of using the Site features, included the online courses. You have had the opportunity to read these terms of service and understand the above statements, accept the risks mentioned, and hereby consent and agree to the terms thereof.

The Site, Course, and any/all Materials are intended solely for Users who are at least 18 years of age or older. By purchasing any products, services, courses, materials, or content from the Site and/or or Jeska Mystic Companies, you represent and warrant that you are 18 years or older and that you agree to and to abide by all of the terms and conditions of this Agreement.

Any and all submissions to public areas and/or submissions of business information, ideas, concepts or inventions to Jeska Mystic Companies via electronic mail become the property of Jeska Mystic Companies to the maximum extent allowed by applicable law. The sender automatically grants and/or warrants that the owner of such content or intellectual property has expressly granted Jeska Mystic Companies a royalty-free, perpetual, irrevocable, world-wide nonexclusive license to use, reproduce, create derivative works from, modify, publish edit, translate, distribute, perform, and display the communication or content in any media or medium, or in any form, format or forum now known or hereafter developed. Jeska Mystic Companies may sublicense its rights through limited terms of sublicense. Do not submit business information, ideas, concepts or inventions, private or proprietary, to public areas or to Jeska Mystic Companies by electronic mail.

This Agreement is the only agreement between you and Jeska Mystic Companies regarding your participation in the Course, supersedes any other similar agreement, and cannot be modified except in writing by Jeska Mystic Companies signed by the parties electronically or otherwise. This Agreement will be binding upon you and your heirs, executors, administrators, and legal representatives. You acknowledge that you have carefully read this Agreement, understand its contents, and understand that this Agreement includes an assumption of risk and release of the Released Parties’ negligence and a release of their liability. Participant acknowledges that Jeska Mystic Companies is materially relying on this waiver in allowing you to engage in the Course, Site, and Materials mentioned in this Agreement.

Should any provision of this Agreement be held invalid, is unenforceable, or violates applicable law, that portion shall be construed consistent with applicable law (or deemed stricken) and the remaining portions shall remain in full force and effect, therefore not affecting the enforceability of any other provisions of this Agreement.

This Agreement shall be governed and construed in accordance with applicable federal law and the substantive laws of Alberta, Canada without giving effect to the principles of conflict of laws. Any cause of action by you with respect to the Site, Course, Materials or content must be instituted within two (2) years after the cause of action arose or be forever waived and barred. You hereby, agree that any and all claims, disputes, demands, or actions, or any kind whatsoever arising from or in connection with this Agreement and/or the Site, Course, Materials, and/or other content from Released Parties shall be submitted to binding arbitration in Cypress County/Medicine Hat, Alberta, Canada in accordance with the Arbitration Procedures of the he Canadian Arbitration Association. You further agree that in the event that any claim, suit, dispute, demand, or action is filed in a location other than Cypress County/Medicine Hat, Alberta, Canada, it shall be moved to Medicine Hat, Alberta, Canada at the option of Jeska Mystic Companies. You further agree that this Agreement shall be interpreted and construed under the Laws of Alberta, Canada regardless of any principles of conflicts of law to the contrary.

To the extend that the Site, Jeska Mystic Companies, Course, Materials, information, or content is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision. Our rights under this Agreement shall survive any termination of this Agreement.
